These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Edge Services & Solutions LLC ("Edge", "we", "us") governing your access to and use of the Edge platform at onedge.co and all related services (the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or organization, you represent that you have authority to bind that entity.
Edge provides a platform that connects businesses with pre-vetted, trained remote professionals in the healthcare, dental, and insurance industries. Our Services include, but are not limited to:
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
To use certain features, you must create an account. You agree to provide accurate, current, and complete information, and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
You must notify Edge immediately of any unauthorized use of your account. Edge is not liable for any loss arising from unauthorized account access.
As a Client, you agree to:
All intellectual property rights in the Services — including the Edge Platform, Edge Edu curriculum, trademarks, logos, and content — are owned by Edge or its licensors. Nothing in these Terms grants you any right, title, or interest in Edge's intellectual property except for the limited right to use the Services as described herein.
You retain ownership of any content you provide to the Services. By submitting content, you grant Edge a non-exclusive, worldwide license to use, reproduce, and display such content solely as necessary to provide the Services.
Fees for the Services are set forth in your service agreement or as published on onedge.co/pricing. You agree to pay all fees when due. All fees are non-refundable unless otherwise specified in writing.
Each party may disclose confidential information to the other during the course of the Services. The receiving party agrees to protect confidential information with at least the same degree of care it uses for its own confidential information, and no less than reasonable care.
Confidential information does not include information that is publicly available, independently developed, rightfully received from a third party, or required to be disclosed by law.
Edge warrants that the Services will be provided in a professional and workmanlike manner consistent with industry standards.
EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Edge does not warrant that the Services will be uninterrupted, error-free, or completely secure.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including loss of profits, data, business opportunities, or goodwill, arising out of or related to these Terms or the Services, regardless of the theory of liability.
EDGE'S TOTAL AGGREGATE LIABILITY under these Terms shall not exceed the total fees paid by you to Edge during the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Edge and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
Either party may terminate these Terms upon written notice. Edge may suspend or terminate your access to the Services immediately if you breach any material provision of these Terms.
Upon termination, your right to use the Services ceases. Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law shall survive termination.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall be resolved by binding arbitration in Santa Clara County, California, in accordance with the rules of the American Arbitration Association.
Each party waives any right to a jury trial. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

This Data Processing Addendum ("DPA") is incorporated into the Edge Terms of Service (the "Agreement") between Edge Services & Solutions LLC ("Edge") and you (the "Client").
This DPA applies to the Processing of Personal Data by the Parties subject to applicable Data Protection Laws in order to provide the Services pursuant to the Agreement.

For CCPA purposes: "Personal Data" = "Personal Information"; "Controller" = "Business"; "Processor" = "Service Provider"; "Data Subject" = "Consumer."
The term of this DPA is coextensive with the Agreement. The DPA automatically terminates upon termination of the Agreement. However, data protection obligations survive termination to the extent required by applicable law.
Edge will process Client Personal Data only as necessary to provide the Services and in accordance with Client's documented instructions, unless required by applicable law.

Client authorizes Edge to engage Sub-Processors to assist in providing the Services. Edge shall:
Client may object to a new Sub-Processor on reasonable grounds related to data protection. If the objection cannot be resolved, either party may terminate the affected Services.
Edge implements and maintains technical and organizational security measures appropriate to the risk, including:
Edge will notify Client of a Data Breach without undue delay and in any event within 72 hours of becoming aware of the breach. The notification shall include:
Edge will cooperate fully with Client in investigating and remediating any Data Breach.
Where Client Personal Data is transferred outside of the EEA, UK, or Switzerland to a country not recognized as providing an adequate level of protection, Edge shall ensure that appropriate safeguards are in place, including:
Edge will assist Client in fulfilling its obligations to respond to Data Subject requests including access, rectification, erasure, restriction, portability, and objection. Edge will promptly notify Client of any request received directly from a Data Subject and will not respond independently unless instructed by Client or required by law.
Edge will make available to Client all information reasonably necessary to demonstrate compliance with this DPA and allow for and contribute to audits and inspections conducted by Client or a third-party auditor mandated by Client.
Audits shall be conducted with reasonable advance notice (minimum 30 days), during normal business hours, and no more than once per year unless required by a supervisory authority or following a Data Breach.
Upon termination of the Agreement, Edge will, at Client's written request, either return or delete all Client Personal Data and all copies, unless applicable law requires continued storage. Edge will certify in writing that it has complied with this obligation.
